Liability Waiver, Release and Indemnity Agreement

Please read this document carefully. By completing registration and checking the agreement box at checkout, you agree to all terms and conditions governing your participation in the exercise, wellness, or instructional programs (the 'Program'), whether attended in person at physical venues or virtually via live streaming/Zoom, hosted by Melissa Roxas, Little Sage Acupuncture & Herbal Medicine Inc., its faculty, and staff (collectively, the 'Released Parties').

Medical Disclaimer and Assumption of Risk

  • Educational Purpose Only: You understand that the Program is for educational and wellness purposes only. It is not a replacement for medical or mental health care, diagnosis, or treatment. The Released Parties are not acting as your medical providers during this Program.
  • Physician Consultation: You acknowledge that it is your sole responsibility to consult with a physician prior to participating in any exercise, fitness, or wellness program. You agree to never disregard professional medical advice or delay seeking it because of something learned in this Program.
  • Assumption of Risks: You knowingly and voluntarily assume full responsibility for any and all risks, injuries, or damages (known or unknown) that you might sustain as a direct or indirect result of participating in the Program.

Waiver of Liability for Negligence

You, on behalf of yourself, your heirs, executors, administrators, legal representatives, successors, and assigns, hereby release, waive, and forever discharge the Released Parties from any and all claims, demands, or causes of action arising out of ordinary negligence. This includes, but is not limited to, careless acts or omissions by the Released Parties regarding the instruction, setup, or operation of the Program.

Indemnification, Hold Harmless, and Defense

You, along with your heirs and estate, agree to fully indemnify, hold harmless, and defend the Released Parties from and against any and all third-party or first-party claims, damages, liabilities, losses, judgments, costs, and legal expenses (including attorney’s fees) arising out of or resulting from your participation in the Program, your conduct, or your breach of this agreement.

Hybrid Environment Rules (In-Person and Virtual)

  • Virtual Space (Zoom/Live Stream): If participating remotely, you acknowledge that you are solely responsible for the safety of your own physical environment. You waive all liability against the Released Parties for any injuries or property damage caused by hazards in your home or remote space (e.g., furniture, flooring, pets, distractions).
  • In-Person Venues: If participating in person, you waive all liability against the Released Parties for slip-and-falls, property hazards, or conditions present at any rented physical spaces, studios, or public parks used for the Program.

Program Policies, Behavior, and Right of Refusal

  • Shared Agreements: You agree to abide by all stated policies and community guidelines to maintain a safe environment.
  • Right of Refusal/Termination: The Released Parties reserve the right, at their sole discretion, to refuse admittance or terminate the registration of any individual at any time. If terminated due to hostile behavior, inflammatory remarks, or defaulting on a tuition agreement, no refund will be issued.
  • Content Monitoring: The Released Parties maintain the right, but not the obligation, to monitor and remove any user-generated content on forums, social media, or Zoom chats deemed inappropriate or destructive without notice.
  • Intellectual Property: Sharing Program materials, recordings, or access keys with non-registered individuals is strictly prohibited. Program videos are streaming-only and may not be downloaded.

Media Recording Consent

You understand that public questions, video images, and audio comments during live streams or in-person sessions may be recorded, transcribed, and distributed by the Released Parties. You consent in advance to the use of your voice and image in these recordings in perpetuity.

ACKNOWLEDGMENT AND SIGNATURE

By checking the agreement box at checkout, you certify that you have carefully read this Liability Waiver, Release, and Indemnity Agreement and fully understand its contents. You recognize that by checking the box, you are digitally signing this agreement, giving up substantial legal rights, including the right to sue for negligence, and doing so voluntarily.

(If the participant is under 18 years of age, checking the agreement box at checkout certifies that you are the parent or legal guardian agreeing to these terms on behalf of the minor participant.)
